Introduction

Underworldpics is a Create-to-Earn platform where users are rewarded with UWPT tokens for interacting with the platform. By using the Service, you agree to be bound by these Terms of Service, along with any associated policies, including the Privacy Policy (collectively, the "Terms"). If you do not agree to these Terms, you must not use any part of the Service.

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY REGISTERING FOR OR OTHERWISE USING THE SERVICE, YOU ARE TELLING US THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE, INCLUDING OUR PRIVACY POLICY (TOGETHER, THESE “TERMS”). If you don’t agree with anything we propose in these Terms, please don’t (and you don’t have our permission to) use any part of the Service.

Eligibility

The Service is intended for individuals who are at least 16 years old. By using the Service, you confirm that you meet this age requirement. If you are using the Service on behalf of an organization or other entity, you represent and warrant that you have the authority to bind that entity to these Terms. Your use of the Service must comply with all applicable laws and regulations.

Public Wallet

When using the Service, you may be required to provide certain information, including your public wallet address. You are solely responsible for all activities associated with your wallet. If you believe your wallet has been compromised, you must immediately cease using the Service and notify us at contact@underworldpics.io.

Limited License to Use the Service

Subject to your compliance with these Terms, Underworldpics grants you a non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes.

Content Creation and Usage

Underworldpics permits users to create, view, and download images and memes. By using the Service:

1. Underworldpics grants you a non-exclusive, irrevocable, worldwide copyright license to create and download photos and memes for free, including for commercial purposes, without requiring attribution to the photographer, content creator, or Underworldpics.io.
2. This license does not include permission to compile or aggregate content from Underworldpics.io for the purpose of replicating a similar or competing service.

Limitations on Content Use

You are not granted the right to use: Trademarks, logos, or brands visible in the images or memes. Recognizable individuals' likenesses without their consent. Works of art or authorship depicted in images without appropriate permissions. Downloading or using such content may require separate permissions, which you are responsible for obtaining.

NFT Creation

Underworldpics leverages the Metaplex token standard to facilitate the creation of NFTs. Creating NFTs on the platform incurs costs in SOL (Solana cryptocurrency). Underworldpics does not provide refunds for any SOL used during the NFT creation process, regardless of technical difficulties or errors. Users who list, buy, sell, or trade NFTs do so at their own risk and assume all responsibilities associated with such transactions. Underworldpics disclaims all liability for issues arising from the Metaplex protocol, Solana network, Phantom Wallet, or any other third-party service. Users are advised to conduct thorough research before engaging in these activities.

UWPT Token Disclaimer

Underworldpics (“the Platform”) issues UWPT tokens as a form of non-monetary reward to users who engage with content and activities on the Platform. By receiving or using UWPT tokens, users acknowledge and agree to the following terms:

1. Nature of UWPT Tokens
UWPT tokens are utility tokens designed exclusively for entertainment and community participation within the Underworldpics ecosystem. These tokens:
- Do not represent an ownership interest, equity stake, or share in the Platform;
- Do not entitle holders to dividends, revenue, profits, or distributions of any kind;
- Are not intended to appreciate in value or be treated as an investment;
- Do not constitute securities, financial instruments, or virtual currency under applicable law;
- Are provided strictly for recreational, non-financial engagement.

This project and its token are for entertainment and community purposes only and do not constitute financial, investment, legal, or tax advice. Cryptocurrency investments are inherently volatile and risky. You may lose part or all of your funds. Only invest what you can afford to lose. Underworldpics and its affiliates are not responsible or liable for any losses, damages, or liabilities arising from your use or reliance on UWPT tokens.

2. Redemption and Use
UWPT tokens may be redeemed for digital or physical items made available by Underworldpics on its official Redemption Page. However:
- Redemption is not guaranteed;
- All items are offered on a first-come, first-served basis and subject to availability;
- Inventory may be limited or removed at any time due to operational, technical, or logistical factors;
- The Platform reserves the right to substitute, modify, or discontinue any redemption item at its sole discretion.

3. No Fiat Value / Non-Refundable
- UWPT tokens cannot be exchanged for fiat currency or any other form of monetary value;
- Tokens are non-refundable, non-transferable outside of the Platform, and hold no intrinsic cash value.

4. No Guarantees
The Platform makes no guarantee or promise regarding:
- The continued availability of any specific reward;
- The duration of any redemption program;
- The future functionality, transferability, or utility of UWPT tokens.

5. Regulatory & Tax Responsibilities
You are solely responsible for determining and fulfilling any tax, legal, or regulatory obligations applicable to your use of the Service, NFTs, or UWPT tokens in your jurisdiction. Underworldpics does not provide legal, tax, or financial advice, and makes no representations regarding the legal status of NFTs, UWPT tokens, or any activities on the Platform under the laws of your jurisdiction.

6. Limitation of Liability
To the maximum extent permitted by law, Underworldpics and its affiliates, directors, officers, employees, agents, service providers, and licensors shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including without limitation loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of UWPT tokens. In no event shall our total liability to you exceed the greater of (a) the amount you paid to us in the 12 months prior to the claim, or (b) USD $50.

7. Indemnification
You agree to defend, indemnify, and hold harmless Underworldpics, its affiliates, officers, directors, employees, agents, service providers, and licensors from and against any and all claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney’s fees, arising out of or in any way connected with (a) your use of UWPT tokens, (b) your violation of these Terms, or (c) your violation of any third-party rights.

8. Termination
We reserve the right, in our sole discretion, to suspend or terminate your access to UWPT tokens at any time, with or without notice, for any reason, including but not limited to breach of these Terms, illegal or fraudulent activity, or actions that may harm other users or the reputation of the Platform.

9. Force Majeure
Underworldpics shall not be held liable or responsible for any failure or delay in performance relating to UWPT tokens resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, labor disputes, internet or telecommunication outages, blockchain network failures, or actions of governmental authorities.

10. Governing Law & Jurisdiction
These Terms relating to UWPT tokens shall be governed by and construed in accordance with the laws of the State of [YOUR STATE], without regard to conflict of law principles. You agree that any legal suit, action, or proceeding arising out of or related to UWPT tokens shall be instituted exclusively in the state or federal courts located in [YOUR COUNTY, STATE], and you irrevocably consent to the jurisdiction of such courts.

By participating in the Underworldpics platform and using UWPT tokens, users agree to waive any claims related to token value, redemption availability, or prize fulfillment. These terms are subject to change at any time at the sole discretion of Underworldpics.

General Disclaimer

Underworldpics provides the Service on an "as-is" and "as-available" basis. The company disclaims all liability for losses or damages arising from your use of the platform, including but not limited to issues with NFTs, tokens, or content creation.
